1. Acceptance

These Terms and Conditions ("Terms") govern access to and use of pandeassociates.in and its website features, content, forms, AI Design Concierge, account functions, project information, Collaborative Network information, and related digital services (collectively, the "Website"). By accessing or using the Website, you agree to these Terms. If you do not agree, please discontinue use of the Website.

These Website Terms are not a substitute for a project-specific appointment, consultancy agreement, scope of work, fee proposal, work order, NDA, construction agreement, or other written contract. A signed project-specific agreement will govern the relevant professional engagement where it conflicts with these general Website Terms.

2. About Pande & Associates

Pande & Associates is presented on the Website as an architecture and interior design consultancy with a legacy dating to 1968 and activities spanning architectural design, interior design, landscape, planning, visualization, coordination, turnkey/execution-support contexts, and related professional services.

The Website may describe projects, awards, experience, collaborators, associates, publications, testimonials, and capabilities. Such information is provided for general informational and promotional purposes and does not create an obligation to accept any particular project.

3. Website Use

You must use the Website only for lawful purposes. You must not attempt to gain unauthorised access to the Website, accounts, databases, APIs, servers, administrative areas, or systems. You must not interfere with Website security, availability, or operation. You must not introduce malware, malicious code, harmful scripts, or deceptive content. You must not scrape, copy, reproduce, mirror, systematically download, or commercially exploit Website content without prior written permission, except where permitted by law. You must not impersonate Pande & Associates, its principal, associates, consultants, vendors, clients, or any other person. You must not submit false, misleading, infringing, unlawful, defamatory, or malicious information through the Website.

4. Website Content and Intellectual Property

Unless otherwise stated, Website text, branding, logos, graphics, photographs, drawings, layouts, renders, videos, project presentations, design concepts, written material, databases, interface elements, and other content are owned by or licensed to Pande & Associates or their respective rights holders.

No licence or ownership right is granted merely because content is displayed on the Website. You may view and use Website content for ordinary personal or internal evaluation purposes, but you may not reproduce, modify, distribute, publish, sell, license, create derivative works from, or commercially exploit protected content without appropriate permission.

Third-party trademarks, names, logos, images, or content remain the property of their respective owners.

5. Architectural and Design Materials

Architectural drawings, plans, specifications, layouts, concepts, renders, models, visualisations, schedules, details, and other design materials are professional work products and may be protected by intellectual-property and professional laws. Website images and project showcases do not grant visitors a right to reproduce or use the underlying design.

A concept shown on the Website is not automatically available for construction or adaptation. Any project use requires the appropriate professional engagement, permissions, documentation, and statutory approvals.

6. Project Enquiries

Submitting a Website enquiry does not create an architect-client relationship, consultancy appointment, agency relationship, fiduciary relationship, partnership, joint venture, or other professional engagement. A professional relationship begins only when Pande & Associates and the relevant client have agreed to the applicable scope and commercial terms in writing, where required.

Enquiry information may be reviewed to determine project fit, availability, expertise, location, complexity, conflicts, and appropriate next steps. We do not guarantee that every enquiry will be accepted.

7. AI Design Concierge Disclaimer

The AI Design Concierge is intended to assist with preliminary project discovery and orientation. Its responses may be incomplete, general, approximate, or unsuitable for a particular site or jurisdiction.

  • AI output is not a final architectural design.
  • AI output is not structural, civil, electrical, mechanical, fire, environmental, legal, financial, or regulatory advice.
  • AI output does not confirm development permissions, building by-laws, FAR/FSI, setbacks, fire requirements, environmental approvals, or any other statutory approval.

Site conditions, title documents, surveys, geotechnical conditions, municipal rules, authority requirements, and project-specific constraints must be professionally assessed before decisions are made. Users remain responsible for obtaining and verifying professional and statutory advice before construction or implementation.

8. Professional Services and Statutory Approvals

Unless expressly included in a signed engagement, the Website does not promise that Pande & Associates will obtain any particular approval, sanction, NOC, permit, completion certificate, utility connection, environmental clearance, fire clearance, or other statutory outcome.

Where statutory approvals are part of an agreed scope, their availability and timing may depend on authorities, third-party consultants, site conditions, client documents, regulations, and circumstances outside the firm's reasonable control.

9. No Guarantee of Results, Cost or Timeline

Project cost, construction duration, approval timing, material availability, contractor performance, site conditions, market conditions, authority processing, and other project variables may change. Any estimate or indicative information on the Website is not a binding quotation unless expressly incorporated into a written commercial proposal.

Images, renders, visualisations, and conceptual presentations are representations of design intent and may differ from final built outcomes because of materials, site conditions, lighting, construction tolerances, client changes, approvals, budgets, or execution decisions.

10. Clients and Client Responsibilities

  • Provide accurate and complete project information and promptly disclose material changes.
  • Provide lawful access to the site and relevant documents when required.
  • Make decisions, approvals, selections, and payments within agreed timelines.
  • Obtain or provide title, ownership, authority, survey, statutory, and other documentation required for the project.
  • Not instruct contractors or third parties in a manner that materially conflicts with agreed professional documentation without informing the relevant professional team.
  • Use project documents only for the authorised project and in accordance with the applicable appointment and intellectual-property terms.

11. Associates, Consultants and Collaborative Network

Pande & Associates may use a collaborative professional model involving associate architects, structural consultants, engineers, landscape professionals, interior specialists, vendors, fabricators, contractors, suppliers, specialist consultants, and other external professionals. The Website may refer to these persons as "associates" or members of a "Collaborative Network".

An associate is not, solely by being described as an associate, an employee of Pande & Associates. Unless a separate written agreement states otherwise, associates and external collaborators remain independent professionals or businesses responsible for their own professional obligations, taxes, licences, registrations, personnel, insurance, tools, and statutory compliance.

Similarly, a vendor or external collaborator is not authorised to represent that it can bind Pande & Associates, make commitments on behalf of the firm, collect money on behalf of the firm, alter contractual terms, or issue guarantees unless expressly authorised in writing.

Pande & Associates may introduce or coordinate with external collaborators for project requirements. Unless expressly agreed in writing, such introduction does not constitute an endorsement, guarantee, warranty, employment relationship, partnership, agency, or joint venture.

12. Vendor and Collaborator Responsibilities

  • Maintain all licences, registrations, certifications, approvals, insurance, and professional qualifications required for their activities.
  • Provide accurate information and disclose material conflicts of interest.
  • Maintain confidentiality of client and project information.
  • Use project information only for authorised purposes.
  • Comply with applicable laws, safety requirements, professional standards, tax obligations, labour obligations, and contractual requirements.
  • Not use Pande & Associates' name, brand, drawings, client information, photographs, or project materials for marketing without appropriate written permission.
  • Return or securely delete confidential materials when required.

13. Third-Party Products and Vendors

Where a project involves products, materials, equipment, software, fabricators, contractors, or other third-party services, the relevant third party may have its own terms, warranties, specifications, lead times, limitations, and liabilities. Unless expressly agreed otherwise, Pande & Associates does not manufacture third-party products and is not the guarantor of third-party performance.

Recommendations or coordination with a vendor do not necessarily mean that the vendor is an exclusive supplier or that its performance is guaranteed.

14. User-Submitted Content

If you submit text, photographs, documents, drawings, references, testimonials, reviews, ideas, or other content, you represent that you have the right to provide it and that its use for the submitted purpose will not knowingly violate law or third-party rights.

You grant Pande & Associates a limited, non-exclusive right to host, reproduce, transmit, and process such material as reasonably necessary to respond to your request, provide services, administer the Website, or perform the purpose for which you submitted it, subject to the Privacy Policy and any project-specific confidentiality agreement.

15. Testimonials, Projects, Awards and Social Content

The Website may display testimonials, project images, awards, publications, social-media embeds, or other third-party content. Such material may be supplied by clients, collaborators, platforms, or other sources. We may correct, update, remove, or decline to publish content at our discretion and subject to applicable rights and obligations.

16. Account and Login Features

Where account registration or login is available, you are responsible for maintaining the confidentiality of your credentials and for activity performed through your account, except to the extent caused by our own failure to apply reasonable security measures.

We may suspend or restrict access where reasonably necessary for security, suspected misuse, legal compliance, or breach of these Terms.

17. Availability and Changes to the Website

We may modify, suspend, discontinue, or restrict any Website feature at any time, including forms, AI features, login, project pages, or Collaborative Network features. We do not guarantee uninterrupted availability or that every feature will remain available.

We may correct typographical errors, update project information, revise descriptions, and change Website structure without prior notice.

18. Third-Party Links and Embedded Services

The Website may link to or embed third-party platforms, including social-media services and other external websites. Such services are independent from Pande & Associates. Your use of them is subject to their respective terms and privacy policies.

19. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Website and its general informational content are provided on an "as available" basis. Pande & Associates does not warrant that the Website will always be accurate, complete, secure, uninterrupted, error-free, or suitable for every purpose.

Nothing in these Terms excludes a warranty, liability, or statutory right that cannot lawfully be excluded.

20. Limitation of Liability

To the maximum extent permitted by applicable law, Pande & Associates will not be liable for indirect, incidental, special, consequential, exemplary, or purely economic losses arising solely from use of the Website or reliance on general Website information.

This limitation does not exclude liability that cannot lawfully be excluded or limited, including liability arising from fraud, wilful misconduct, or other matters where limitation is prohibited by applicable law. Project-specific liability, professional responsibility, fees, deliverables, warranties, and indemnities are governed by the applicable written project agreement.

21. Indemnity

To the extent permitted by law, a user who knowingly violates these Terms, infringes third-party rights, submits unlawful material, attempts unauthorised access, or misuses the Website agrees to indemnify and hold harmless Pande & Associates and its authorised representatives from third-party claims, losses, liabilities, costs, and reasonable expenses arising directly from that violation, subject to applicable law.

22. Suspension and Termination

We may suspend or terminate access to Website features where reasonably necessary because of security concerns, unlawful conduct, material breach of these Terms, misuse, or operational requirements. Termination will not affect rights or obligations that by their nature should survive, including intellectual-property, confidentiality, liability, dispute, and record-keeping provisions.

23. Governing Law and Jurisdiction

These Website Terms are governed by the laws of India. Subject to any mandatory statutory forum or applicable dispute-resolution provision in a project-specific agreement, courts having appropriate jurisdiction in Gautam Buddha Nagar/Noida, Uttar Pradesh, may have jurisdiction over disputes arising from the Website and these Terms.

For a professional engagement, the signed project agreement should contain the definitive dispute-resolution, arbitration, venue, and jurisdiction provisions applicable to that engagement.

24. Changes to these Terms

We may revise these Terms from time to time. The updated version will be published on the Website with a revised date. Continued use of the Website after publication of an update constitutes acceptance to the extent permitted by applicable law.

25. Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions will continue to the extent permitted by law. The affected provision will be interpreted or replaced as closely as legally possible to reflect its intended purpose.

26. Entire Website Terms

These Terms, together with the Privacy Policy and any documents expressly incorporated by reference, constitute the general terms governing use of the Website. They do not replace a signed project-specific agreement.
